These Agent Terms & Conditions ("Terms") govern participation in the Wurley Agent Program and apply to all real estate professionals and agencies ("Agent", "you", "your") who register with or accept referrals through the Wurley property technology platform ("Wurley", "we", "us", "our").
Wurley operates as a property technology platform and facilitator. Wurley is not a licensed real estate agency and does not conduct property sales agency work. All agency services are provided by independent licensed agents.
By creating an account, participating in the Matching Agent Program, or accepting a Lead, you agree to these Terms.
1. Eligibility and Professional Status
To participate, you represent and warrant that:
- You hold a valid real estate licence or registration in your Australian state or territory, or are an authorised representative of a licensed agency
- Your licence, registration, and agency details are accurate and kept up to date
- You maintain required professional indemnity insurance
- You comply with the Estate Agents Act 1980 (VIC) or equivalent legislation in your jurisdiction
- You comply with relevant professional standards issued by REIV or other applicable industry bodies
Wurley may request verification documents at any time and may suspend access if verification fails.
2. Program Overview and Platform Role
The Wurley Matching Agent Program connects property owners, buyers, sellers, landlords, and tenants ("Leads") with independent licensed agents based on coverage, availability, and suitability.
Under this program:
- Wurley may introduce Leads to you through the platform
- You may accept or decline Leads
- You remain solely responsible for all agency services and regulatory compliance
- Wurley acts only as a facilitator and referral platform
No employment, partnership, joint venture, or agency relationship is created between you and Wurley.
3. Lead Allocation
Lead allocation may consider:
- Suburb or postcode coverage
- Availability and responsiveness
- Platform activity
- Past performance and conversion outcomes
- Client feedback
- Specialisation (sales, leasing, off‑market, etc.)
Wurley does not guarantee lead volume, exclusivity, or conversion outcomes and may allocate multiple agents within the same area at its discretion.
4. Acceptance and Response Obligations
When a Lead is offered:
- You must respond within the platform response timeframe
- Non‑response may result in reassignment
- Repeated non‑response may reduce future allocations
If you accept a Lead, you agree to:
- Contact the client promptly
- Act professionally and in good faith
- Make genuine efforts to service the Lead
5. Instant Buyer‑Match Engine
Wurley uses proprietary systems to match listings and sellers with potential buyers and agents.
- A Match constitutes an introduction only
- Wurley does not guarantee transaction success
- Buyer intent and financial indicators are based on supplied and verified data but are not guaranteed
Lead Ownership: Ownership priority is determined by the first verified professional contact recorded within the Wurley platform logs.
6. Off‑Market Exchange & Conjunctionals
The Off‑Market Exchange supports "Coming Soon" and "Silent" listings between verified professionals.
Confidentiality
- Off‑market data is strictly confidential
- You must not publish or distribute off‑market details externally without owner consent
- Breach of confidentiality is a material breach of these Terms
Conjunctional Agreements
- Wurley facilitates introductions between listing and buyer agents
- Commission split (conjunctional) agreements are separate contracts between agencies
- Wurley is not a party to conjunctional contracts
- Wurley may maintain a digital audit trail of introductions and activity
Fair Dealing
Agents must act in good faith in negotiations and buyer handling.
7. Commission and Referral Fees
Where a transaction results from a Wurley Lead, a referral fee or commission share may apply.
Unless otherwise agreed in writing:
- Referral fees are calculated on gross agency commission received
- Applicable percentages are shown in the dashboard or referral notice
- Fees become payable at settlement
- Payment must be made within the invoice period
- You must not structure transactions to avoid referral fees
8. Referral Integrity and Ancillary Fees
Wurley facilitates referrals to ancillary service providers (e.g., Conveyancing, Home Loans, Trades). To maintain the integrity of our ecosystem:
- Existing Client Rule: Referral fees or service credits are only payable for clients who are successfully introduced to a partner service via the Agent's unique dashboard link.
- Prior Contact Clause: If a client has already contacted Wurley or a Wurley-affiliated service provider directly, or is already registered as a Wurley user claiming rewards/discounts, that client is considered a "Wurley-Direct Client." In such cases, Wurley reserves the right to refuse referral fees to an Agent for that specific client, as they are already participating in the Wurley reward ecosystem.
- Double-Claiming Prohibited: Agents may not claim referral rewards for clients who are already receiving direct consumer incentives or rewards from Wurley for the same service.
9. Subscription Tiers and Pricing
Wurley may offer Standard (free) and paid subscription tiers.
Standard Tier
- May include limited listings and basic matching
- Wurley may cap active free listings per agency
Premium / Platinum Tiers
- Fees are billed in advance
- Non‑payment may result in downgrade or feature restriction
- Advanced matching and exchange features may be removed on downgrade
Fair Use
- Listings must be genuine
- Ghost, dummy, or placeholder listings used to farm leads are prohibited
10. Trade Services and 5% Ethics Guarantee
Where Wurley introduces trade or property services:
- Wurley may coordinate quotes through verified providers
- Wurley aims to cap markups at 5% under its ethics framework
- Trade contracts are between the client and trade provider
- Wurley is not liable for workmanship or delivery
11. Agent Responsibilities
You are solely responsible for:
- Listing agreements
- Compliance with real estate laws
- Trust accounting
- Advertising compliance
- Property representations
- Negotiations and disclosures
- Handling client funds
Wurley does not supervise agency work and is not liable for agent conduct.
12. No Circumvention
You must not:
- Circumvent Wurley to avoid referral fees
- Move Wurley Leads off‑platform to avoid tracking
- Re‑register referred clients under alternate identities
Circumvention may result in removal, fee recovery, and permanent ban.
13. Client Relationship
Clients introduced by Wurley remain free to choose their agent.
- Your agency agreement is directly with the client
- Wurley is not a party to agency contracts
- Wurley does not control service delivery
14. Data, Privacy and Marketing
Agents must comply with Australian Privacy Principles.
- Client data must only be used for service delivery
- Platform data must not be exported or resold
- You must obtain consent before connecting clients to ancillary partners
- Wurley may use platform communication data for service improvement and permitted direct marketing as outlined in the Privacy Policy
15. Intellectual Property
Agent Content
You retain ownership of uploaded content but grant Wurley a non‑exclusive licence to use it to operate and promote the Service.
Wurley Property
All platform systems, algorithms, dashboards, and aggregated buyer data remain Wurley intellectual property.
You must not scrape, crawl, copy, or reverse‑engineer the Service.
16. Reviews and Performance Metrics
Wurley may record:
- Response times
- Conversion metrics
- Client feedback
- Service quality indicators
These may influence lead allocation.
17. Security and Platform Access
Access may require multi‑factor authentication and identity verification.
You are responsible for account security and all activity under your login.
18. Suspension and Termination
Wurley may suspend or terminate access without notice for:
- Breach of these Terms
- Misconduct or unethical behaviour
- Licence issues
- Fraud or fee avoidance
- Non‑payment of subscription fees
Agents may withdraw at any time, but outstanding referral fees remain payable.
19. Limitation of Liability
To the maximum extent permitted by Australian Consumer Law:
- The Service is provided "as is"
- Wurley disclaims warranties
- Wurley is not liable for commission loss, transaction failure, data loss, or downtime
- Total liability is capped at fees paid by you in the prior 12 months
20. Indemnity
You agree to indemnify Wurley against claims arising from:
- Your agency conduct
- Regulatory breaches
- Misrepresentation
- Client disputes
- Contract failures
21. Platform Changes
Wurley may update features, matching rules, fees, and program structure. Updated Terms will be posted on the platform.
22. Governing Law
These Terms are governed by the laws of Victoria, Australia. Disputes are subject to Victorian courts.
